Rhode skincare line will become part of E.l.f. Beauty in a $1 billion acquisition deal. The company founded by Hailey Bieber launched just two years ago, and has already made a big mark in the skincare world.

E.l.f. will pay $600 million in cash, offer $200 million in company stock, and possibly add another $200 million if Rhode meets future targets. Over the past year, Rhode made $212 million in sales and is planning to expand its reach with a Sephora rollout by late 2025.

Bieber isn’t stepping away. She’ll keep leading the creative side of the brand and advise both Rhode and E.l.f. after the deal is done.

Main facts:

  • Total price: $1B
  • Structure: $600M in cash, $200M in stock, $200M as a potential earnout
  • Earnings: $212M last year
  • Store debut: Sephora by the end of 2025
  • Leadership: Bieber stays in creative and strategic roles

“I found a like-minded disruptor with a vision to be a different kind of company that believes in big ideas and innovation in the same way that I do and will help us continue to grow the brand,” Bieber wrote on Instagram.

E.l.f. CEO Tarang Amin added, “We are excited by Rhode’s ability to break beauty barriers, fully aligning with E.l.f. Beauty’s vision to create a different kind of company.”

Regulatory steps remain, and the deal is set to close before 2026.
